Construction and Public Contracts

The Construction and Public Contracts attorneys of Kilpatrick Townsend are nationally recognized and well versed in dealing with complex construction matters throughout the United States and overseas, with further focus on representing public owners on large infrastructure projects and procurement and contract matters. Through our exclusive focus on construction-related issues, the group has a vast amount of experience in virtually every type of construction project, including wastewater treatment plants, airports, tunnels, prisons, hospitals, office buildings, sports arenas, schools, hotels and resorts, power plants, and industrial facilities.

We routinely draft and negotiate design and construction contracts for large, complex projects. As part of our experience representing owners, contractors and design professionals throughout the industry, we have written and negotiated contracts based upon all the industry standard forms (such as the AIA forms) and have developed custom contract documents for specific clients and projects. Based upon our experience drafting and negotiating contract documents, as well as our advice and representation of clients in construction disputes, we know what works in a contract and what does not.

Intergovernmental Agreements

Kilpatrick Townsend has substantial experience in drafting and negotiating agreements between various governmental entities. Firm attorneys regularly develop intergovernmental agreements associated with governmental undertakings, including contracts for water and sewer systems, gas and electric utilities, solid waste facilities, low income housing programs, airports, car rental facilities, hospitals and other health care facilities, industrial parks and other economic development projects.

We have negotiated contracts with the Federal and state governments. These contracts are for all types of construction, from roads and bridges to nuclear power plants. Our aviation experience has provided significant knowledge of intergovernmental agreements. We are particularly adept at ensuring compliance with constitutional and statutory limitations on governmental contracting powers in order to meet the needs of city government in responding to emerging challenges and opportunities.

The Commercial Transactions team has in-depth experience in contracts relating to professional and non-professional services, goods/equipment and technology. Our Commercial Transactions attorneys represent business clients in large, complex transactions involving the procurement or sale of products or services, in professional service agreements, outsourcing and logistics industry transactions, in transactions involving the licensing of software and patents, and in strategic commercial relationships.
